Terms of Service

These Terms of Service ("Terms") govern your use of Klar (the "Service"), provided by AEYEON Technologies Private Limited ("AEYEON", "we", "our", or "us"), a private limited company incorporated in India.

By creating an account or using Klar, you agree to these Terms. If you don't agree, don't use the Service.


1. Acceptance and changes

By accessing Klar at https://klar.aeye-on.com or via any sub-page, you confirm:

  • You are 18 years or older (or the age of majority in your jurisdiction)
  • You have authority to bind the entity you represent (if signing up on behalf of a company)
  • You have read our Privacy Policy

We may update these Terms periodically. Material changes are notified by email at least 14 days in advance. Continued use after the effective date means you accept the updated Terms.


2. Definitions

3. Account and Workspace

3.1 Eligibility

To use Klar, you need:

  • A valid email address
  • A workspace name
  • Acceptance of these Terms and the Privacy Policy

3.2 Account security

You are responsible for keeping your credentials secure. Notify us at security@aeye-on.com immediately if you suspect unauthorized access.

3.3 Roles and access

Within a workspace, members have roles (Viewer / Editor / Admin) granted by the workspace owner. Owners are responsible for member access management.


4. Subscription and billing

Yearly plans receive a discount equivalent to roughly 2 months free vs paying monthly. Current pricing always reflects what's published at https://klar.aeye-on.com/pricing. Pricing may change with 30 days' notice for new subscriptions; existing subscriptions are honored at the price you signed up at until your next renewal.

4.2 Billing

Paid plans are billed in advance — monthly or annually depending on your chosen billing cycle — via Paddle.com Market Limited ("Paddle"), our Merchant of Record for transactions outside India, and via Razorpay Software Private Limited ("Razorpay") for transactions within India. The applicable provider handles your payment, taxes (GST, VAT, sales tax as applicable), and invoicing. By subscribing you also agree to the billing provider's terms.

4.3 Free trial

When you sign up, you may start a 14-day free trial on the Pro+ plan. No credit card is required to start the trial.

During the trial:

  • You have full access to Pro+ features and AI Credits
  • You may cancel any time at no charge
  • You may convert to any paid plan at any time

When the trial ends:

  • If you haven't added a payment method, your workspace is paused — your data is preserved (see §4.9) but no further AI Credits are issued and dashboards become read-only until you subscribe
  • If you've added a payment method, your subscription becomes active on the plan you selected and the first charge is processed

We offer one free trial per workspace.

4.4 Cancellation

You may cancel your subscription at any time from the Billing page in your account (no email or call required).

When you click Cancel subscription:

  • We schedule the cancellation to take effect at the end of your current billing period — you keep full access until that date
  • No further automatic renewals occur
  • You may reverse the cancellation at any time before the effective date by clicking Reverse cancellation on the Billing page
  • We may ask you a short, optional exit-survey question to help us improve

Immediate cancellation (mid-period termination) is available on request — email support@aeye-on.com from your account email and we will process it within one business day. Mid-period cancellation does not, on its own, entitle you to a refund (see §4.5).

After the cancellation takes effect:

  • Your subscription status becomes canceled and the workspace reverts to read-only access
  • See §4.9 for what happens to your data

4.5 Refunds

This Refund Policy is part of these Terms. Paddle, Razorpay, and other regulators may link directly to this section at https://klar.aeye-on.com/terms#refunds.

If you are within the window above, email support@aeye-on.com with subject "Refund request" from your account email address. We will process a full refund to the original payment method within 5 business days, no justification required.

Outside the no-questions window

After the window has closed, refunds are reviewed case-by-case at our reasonable discretion. Reasons we typically refund: extended outage of paid functionality, billing error on our end, account compromise that resulted in charges you did not authorise. Reasons we typically do not refund: unused remaining time after a self-initiated cancellation (your access continues through the period you already paid for — see §4.4), forgetting to cancel before renewal (we'll usually waive this once as a courtesy on your first occurrence).

What is non-refundable

  • AI Credits that have already been consumed
  • Any usage-based overage charges (none on current plans, reserved for future)
  • Enterprise contracts billed via invoice (refer to your signed agreement)

Chargeback policy

We strongly prefer that you contact us at support@aeye-on.com before initiating a chargeback with your bank. We will work in good faith to resolve any billing dispute. Initiating a chargeback without contacting us first may result in suspension of your account pending resolution.

4.6 Plan changes

You can change your plan at any time from the Billing page → Change plan. Both upgrades and downgrades go through an in-product preview that shows you the exact amount before you confirm.

Upgrades (move to a higher tier or switch from monthly to yearly)

  • Take effect immediately
  • Your card on file is charged a prorated amount: full price of the new tier for the remaining days in your current period, minus a credit for the unused days on the old tier
  • Your billing anchor date is preserved — the next full charge falls on the same day of the month/year as before

Downgrades (move to a lower tier or switch from yearly to monthly)

  • Take effect at the end of your current billing period — you keep the higher tier you paid for until then
  • No charge is processed today
  • A credit for the unused higher-tier time is applied to your next invoice, reducing the next charge
  • You may reverse a scheduled downgrade from the Billing page at any time before it takes effect

Same-tier no-op — selecting your current plan + cycle does nothing and incurs no charge.

4.7 Failed payment and dunning

If an auto-renewal payment fails, our billing provider will automatically retry per their standard dunning schedule (typically 4 attempts over 14 days). During that window:

  • Your subscription status shows Past due in your Billing page
  • We will email you at the address on file before each retry
  • Your access to the Service is preserved so you have time to update your payment method

If all dunning retries fail (after approximately 14 days), your subscription is cancelled and the workspace reverts to read-only access. There is no automatic downgrade to a lower paid tier or to a free tier. You may re-subscribe at any time from the Pricing page.

4.8 AI Credits

Each plan includes a monthly allowance of AI Credits as published at https://klar.aeye-on.com/pricing. AI Credits:

  • Are consumed when you (or another member of your workspace) run an AI-driven action — auto-dashboard generation, AI chat messages, AI insights, recommendations
  • Reset at the start of each calendar month and do not roll over
  • Are not refundable individually once consumed
  • May be supplemented with usage-based add-on packs in the future (announced separately when available)

If you exhaust your monthly AI Credits, deterministic features (dashboards, charts, datasets, exports) continue to function. AI features prompt you to upgrade.

4.9 Data retention

While your subscription is active or in a paid trial, Klar retains your Customer Data indefinitely (datasets, dashboards, charts, saved insights, cohorts, funnels, forecasts, workspace members).

After cancellation, expiry, or trial end without conversion:

After 90 daysCustomer Data is permanently deleted. We send a reminder email 14 days before deletion to the account email so you have time to re-subscribe or export.

Extending the retention window: if 90 days is too short for your situation (e.g. seasonal business, parental leave), email support@aeye-on.com before the deadline and we will extend on a case-by-case basis, typically by another 90 days.

Request immediate deletion at any time: you can ask us to permanently delete all Customer Data immediately by emailing privacy@aeye-on.com from your account email. We will complete deletion within 30 days of the request and confirm by email. This applies whether your subscription is active or cancelled.

Workspace closure: if you choose to close your workspace entirely (separate from cancelling your subscription), all Customer Data is permanently deleted within 30 days of closure.

This retention period balances the convenience of "pick up where you left off" against the data-minimisation principles in the Indian Digital Personal Data Protection Act 2023 and the EU GDPR.


5. Acceptable use

You agree not to:

  • Use Klar to process data you don't have legal right to access
  • Connect data sources that violate the rights of third parties
  • Reverse-engineer, decompile, or attempt to extract Klar's source code
  • Resell or sublicense Klar without an Enterprise agreement (the Business tier permits agency use within the seat limit)
  • Use Klar to send spam, phishing, or other unlawful communication
  • Attempt to disrupt Klar's infrastructure (DoS, scraping at high frequency, etc.)
  • Use Klar for any illegal activity under Indian or applicable law

We reserve the right to suspend accounts that violate these rules, with notice where reasonably possible.


6. Customer Data — ownership and processing

6.1 Ownership

You retain all ownership and intellectual property rights in Customer Data. Klar acts as a data processor; you are the data controller.

6.2 License to AEYEON

You grant AEYEON a limited, non-exclusive, royalty-free license to access, store, process, and display Customer Data solely to operate the Service for you. This license terminates when you delete the data or close your account.

6.3 No training on Customer Data

AEYEON does not use Customer Data to train any AI/ML model. We use Anthropic's Claude API for AI-driven dashboards, and have configured our Anthropic account to disable feedback sharing. See the Privacy Policy §4.3 for details.

6.4 Customer-owned datasets

You can export, delete, or transfer your data at any time. We provide CSV/Excel export per dataset and per dashboard.


7. Service availability

7.2 Maintenance windows

We may perform scheduled maintenance with 48 hours' notice via in-app banner and email. Emergency maintenance may occur without notice.

7.3 Disclaimers

The Service is provided "as is" and "as available". We don't guarantee:

  • The Service will be uninterrupted or error-free
  • That Customer Data analysis or AI insights will be accurate or fit for any purpose
  • Compatibility with every data source format or schema variation

AI-generated insights are suggestions, not financial or legal advice. Always validate before making business decisions.


8. Termination

8.1 Termination by you

You may terminate your account any time via account settings (see §4.4).

8.2 Termination by us

We may terminate or suspend your account if:

  • You materially breach these Terms (e.g. acceptable use violations)
  • Required by law
  • Your payment fails through all dunning retries — see §4.7

We will provide reasonable notice except in cases of egregious abuse, security incidents, or legal requirement.

8.3 Effect of termination

On termination:

  • Your access to the Service ends
  • Customer Data is retained per §4.9 (90-day window then permanent deletion; immediate deletion on request)
  • Sections that by nature should survive (Limitation of liability, Governing law, indemnification) survive termination

9. Intellectual property

9.1 Klar IP

All Klar software, branding, designs, and documentation are owned by AEYEON Technologies Private Limited. These Terms grant you a non-exclusive, non-transferable license to use Klar — not ownership.

9.2 Feedback

If you send us feedback, suggestions, or feature requests, we may use them to improve Klar without obligation or compensation.


10. Confidentiality

Each party agrees to keep the other's Confidential Information confidential and use it only for purposes of this agreement.

"Confidential Information" includes Customer Data (kept confidential by us) and any proprietary information about Klar's pricing, roadmap, or non-public features (kept confidential by you).


11. Limitation of liability

To the maximum extent permitted by law:

  • AEYEON's aggregate liability for any claim under these Terms is capped at the amount you paid for the Service in the 12 months preceding the claim (or $100, whichever is greater)
  • Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility
  • This limitation does not apply to: (a) breach of confidentiality, (b) IP infringement, (c) gross negligence or willful misconduct

12. Indemnification

12.1 By you

You agree to indemnify AEYEON against claims arising from:

  • Your use of the Service in breach of these Terms or applicable law
  • Your Customer Data infringing third-party rights
  • Your acceptable-use violations under §5

12.2 By AEYEON

We will defend you against third-party claims that the Klar service (excluding Customer Data and your configurations) infringes their intellectual property rights, subject to standard IP indemnification terms.


13. Governing law and disputes

13.1 Governing law

These Terms are governed by the laws of India.

13.2 Jurisdiction

Any dispute arising from these Terms is subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

13.3 Informal resolution first

Before filing any claim, you agree to email legal@aeye-on.com so we can try to resolve the dispute informally. We commit to responding within 30 days.


14. General

14.1 Entire agreement

These Terms (including the Refund Policy embedded at §4.5) and the Privacy Policy constitute the entire agreement between you and AEYEON regarding the Service.

14.2 Severability

If any clause is found unenforceable, the rest remain in effect.

14.3 No waiver

Our failure to enforce a right does not waive future enforcement.

14.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

14.5 Force majeure

Neither party is liable for delays or failures due to events beyond reasonable control (natural disasters, war, government action, internet outages, etc.).
